1. Agreement to these Terms

These Terms govern your access to and use of Mwanga's website (mwangapartners.com), application (app.mwangapartners.com), and services (the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Services

Mwanga provides competitive market-intelligence dashboards for funeral homes, compiled from publicly available obituary information, on a subscription basis (directly or through an authorized partner). Fees and subscription details are set out in your separate order or partner agreement.

3. Accounts and access

Access requires Google Sign-In and authorization by Mwanga (directly or through your partner or employer). You are responsible for all activity under your account and for keeping your access secure. Do not share logins.

4. Acceptable use

You agree not to: (a) access data you are not authorized to access; (b) resell, sublicense, or redistribute the Services or any data except as expressly authorized in writing; (c) scrape, copy, or extract data from the Services by automated means; (d) reverse engineer or attempt to derive source code; (e) use the Services unlawfully or to infringe others' rights; or (f) interfere with the operation or security of the Services.

5. Data sources and accuracy

The market-intelligence data is compiled from third-party, publicly available obituary publications. The Services and all data are provided for general informational purposes only, on an "AS IS" and "AS AVAILABLE" basis. Mwanga does not warrant that the data is accurate, complete, or current, and you should not rely on it as the sole basis for any business, financial, or other decision.

6. Intellectual property

As between you and Mwanga, Mwanga owns all rights in the Services, including the software, dashboards, and the compiled and processed datasets and analyses. Subject to these Terms and your subscription, Mwanga grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES OR DATA.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MWANGA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. MWANGA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID TO MWANGA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You will indemnify and hold Mwanga harmless from third-party claims arising out of your misuse of the Services or your violation of these Terms or applicable law.

10. Term and termination

We may suspend or terminate access for violation of these Terms or non-payment. You may stop using the Services at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

11. Governing law

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. The state and federal courts located in Idaho will have exclusive jurisdiction, unless a separate signed agreement provides otherwise.

12. Changes

We may update these Terms and will post a new effective date. Continued use of the Services after changes take effect constitutes acceptance.
